Laams Terms of Service

1. INTRODUCTION
These Terms of Service (“Terms”) govern your access to and use of all products, services, and offerings provided by Laams Technologies PTY LTD (Laams, we, us or our). These Terms apply to all Laams hardware products, software products (including but not limited to Laams Workspace, Laams One, and Laams Academy), Laams scientific research outputs, and all research and development activities, as well as any related platforms, applications, tools, APIs, content, documentation, websites, and associated technology (collectively, the “Service”).
By accessing, using, purchasing, subscribing to, installing, or interacting with any part of the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, our Intellectual Property Rights, including all ownership rights, usage restrictions, licensing conditions, and protections applicable to Laams’s hardware designs, software code, algorithms, research outputs, trademarks, trade names, copyrighted materials, and proprietary technologies.
Our Privacy Policy and our Intellectual Property Rights documentation are hereby incorporated into these Terms by reference and form integral components of your agreement with Laams.
If you do not agree to these Terms, the Privacy Policy, or Laams’s Intellectual Property Rights, you may not access, use, or engage with any aspect of the Service.
2. DEFINITION OF CUSTOMER
These Terms apply to all categories of individuals and entities accessing or using the Service, including but not limited to individual consumers, organizational users, administrators, students, researchers, developers, distributors, contractors, and any other persons or legal entities using the Service on their own behalf or on behalf of another party (collectively referred to as Customer you, or your).
If you access or use the Service on behalf of a company, institution, organization, or any other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms, and you acknowledge that the term Customer, you or your shall also refer to and include such entity.
Your continued access to or use of the Service constitutes your ongoing acceptance of these Terms, as updated from time to time.
3. SCOPE OF THE SERVICE
These Terms apply to all Laams hardware products, software products (including but not limited to Laams Workspace, Laams One, and Laams Academy), Laams scientific research outputs, and all research and development activities, as well as any related platforms, applications, tools, APIs, content, documentation, websites, and associated technology (collectively, the “Service”).
Your use of the Service does not transfer ownership of any Laams technologies, designs, software, algorithms, trademarks, or research materials.
4. ELIGIBILITY
To access or use the Service, you represent, warrant, and agree that all of the following conditions are met:
- You are at least the age of majority in your jurisdiction of residence and have full legal capacity to enter into a binding agreement; or
- If you are a minor, you have obtained valid and verifiable consent from a parent or legal guardian who accepts these Terms on your behalf; or
- You are duly authorized to use the Service on behalf of a company, institution, organization, government body, medical provider, educational institution, commercial enterprise, research entity, or any other legal entity, and you have the legal authority to bind such entity to these Terms.
4.1. Health and Medical Use
If you access, use, or rely on any Laams Service in connection with medical, diagnostic, wellness, clinical, laboratory, or healthcare-related activities, you confirm that:
- You are a licensed healthcare provider, medical professional, researcher, or health organization authorized to access and handle health-related data;
- You will not use the Service to make clinical decisions without qualified human review, unless explicitly permitted by applicable law and by Laams;
- You understand that Laams does not provide medical advice or substitute professional medical judgment;
- You comply with all obligations relating to patient safety, ethical standards, and applicable health regulations, including but not limited to privacy, data handling, and professional conduct.
4.2. Education and Academic Use
If you access or use the Service within an educational institution or academic program, you represent and warrant that:
- You are a student, instructor, researcher, academic staff member, or authorized administrator with the right to use educational tools and platforms provided by Laams;
- You will use the Service in compliance with institutional policies, academic integrity standards, and local regulations governing minors and student data;
- You will not misuse the Service to cheat, plagiarize, circumvent assessments, or engage in academic misconduct.
4.3. Commercial, Business, and Financial Use
If you use the Service in connection with business operations, payments, sales, or organizational workflows, you represent and warrant that:
- You are authorized to conduct commercial activities on behalf of yourself or an entity;
- You are responsible for ensuring compliance with consumer protection laws, payment regulations, tax obligations, e-commerce rules, trade compliance, and all other applicable commercial laws;
- You will not use the Service for fraudulent transactions, money laundering, unauthorized financial operations, or activities that violate local or international commerce laws.
4.4. General Restrictions
Laams may deny, suspend, or revoke access to the Service at its sole discretion, where permitted by law, if:
- You fail to meet the eligibility requirements stated herein;
- Your use poses legal, security, regulatory, ethical, or operational risks;
- Your use violates these Terms or applicable laws;
- Your identity or authorization cannot be verified.
Your continued access to or use of the Service constitutes ongoing confirmation that all eligibility criteria continue to be met.
5. ACCOUNT REGISTRATION
Certain features or modules of the Service require you to create and maintain an account (“Account”). By registering for or using an Account, you agree to comply with the following obligations and acknowledge the associated responsibilities:
5.1 Accurate and Complete Information
- You must provide true, accurate, current, and complete information during the registration process and maintain the accuracy and completeness of such information at all times.
- You must promptly update your Account information if there are any changes to your personal, organizational, or payment data.
- Laams may suspend or terminate your Account if information is found to be false, misleading, or incomplete.
5.2 Security and Confidentiality
- You are solely responsible for maintaining the confidentiality of your login credentials, including username, password, two-factor authentication codes, and any other security measures associated with your Account.
- You agree not to share your credentials with anyone, including colleagues, family, or other parties, unless expressly authorized under your organizational policies and the Service’s access controls.
- You must immediately notify Laams of any suspected or actual unauthorized use, breach, or compromise of your Account or credentials.
5.3 Account Responsibility
- You are fully responsible for all activities, transactions, communications, and data submissions conducted through your Account, whether or not you personally performed them.
- In the case of organizational Accounts, the entity associated with the Account is responsible for all actions taken by authorized users.
- You agree to comply with all applicable laws, regulations, and policies while using your Account.
5.4 Sector-Specific Considerations
- Health Sector: If your Account accesses health-related modules or protected health information, you represent that you are authorized under applicable health laws and regulations (e.g., HIPAA, GDPR, or local equivalents) to access and manage such data.
- Education Sector: Accounts used for educational purposes must be operated in accordance with institutional policies, ethical standards, and student privacy laws (e.g., FERPA, GDPR, or local equivalents).
- Commerce Sector: Accounts used for commercial transactions, payments, or e-commerce must comply with all relevant consumer protection laws, financial regulations, and trade rules.
5.5 Limitation of Liability
Laams is not responsible or liable for any losses, damages, or unauthorized activity arising from your failure to secure your Account, except to the extent caused by Laams’s willful misconduct.
5.6 Account Termination and Suspension
Laams reserves the right to suspend or terminate your Account at its discretion for violations of these Terms, security concerns, regulatory requirements, or other operational reasons. Upon termination, your rights to access the Service will immediately cease, and Laams may delete or archive your Account data in accordance with its data retention policies.
Certain features of the Service require an account. You agree to:
- Provide accurate and complete information
- Keep your login credentials secure
- Accept responsibility for all activities that occur under your account
- Immediately notify Laams of unauthorized access or misuse
Laams is not liable for losses arising from compromised accounts unless caused by Laams’s willful misconduct.
6. INTELLECTUAL PROPERTY RIGHTS
All components of the Service—including but not limited to software, source code, algorithms, AI and machine learning models, hardware designs, documentation, training datasets, research outputs, graphics, user interfaces, trademarks, service marks, logos, trade names, patents, domain names, and other proprietary technology or materials—are the exclusive intellectual property of Laams Technologies PTY LTD (“Laams”) or its licensors. These materials are protected under applicable intellectual property laws, international treaties, trade secret laws, and other proprietary rights.
By accessing or using the Service, you acknowledge and agree to the following:
6.1 Limited License
- You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes in accordance with these Terms.
- No ownership rights, title, or intellectual property interests in the Service or its components are transferred to you, except as expressly provided in writing by Laams.
6.2 Software and Digital IP
- You shall not copy, reproduce, distribute, modify, create derivative works, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying algorithms, or trade secrets of the software or digital components of the Service.
- Unauthorized use of software or digital IP, including unauthorized access to APIs or cloud-hosted tools, is strictly prohibited.
6.3 AI and Machine Learning Models
- Any AI models, training datasets, or outputs generated by the Service are proprietary to Laams.
- You may use AI outputs only within the scope of your license and must not extract, copy, redistribute, or commercialize models or underlying datasets without prior written consent.
- If used in healthcare or educational contexts, AI outputs must be validated by qualified professionals and comply with all applicable regulations; Laams does not assume responsibility for decisions or outcomes based on AI outputs.
6.4 Research Outputs and Scientific Data
- Research materials, scientific reports, experimental results, and R&D data provided by Laams are intellectual property and trade secrets.
- You may only use research outputs for internal, non-commercial, or authorized academic purposes unless explicitly permitted.
- Any reproduction, publication, public sharing, or commercial use without authorization is strictly prohibited.
6.5 Hardware Designs and Physical IP
- Hardware, device schematics, blueprints, firmware, embedded software, and related technical documentation are proprietary.
- You may not manufacture, replicate, modify, or reverse engineer Laams hardware without written permission.
- Unauthorized physical use or reproduction may result in civil and criminal liability.
6.6 Trademarks, Trade Names, and Branding
- Laams’s trademarks, service marks, trade names, logos, and branding materials may not be used without prior written approval.
- You may not imply sponsorship, endorsement, or partnership with Laams without explicit authorization.
6.7 Sector-Specific Obligations
Health Sector:
- IP related to healthcare applications, patient data interfaces, AI diagnostics, or medical research must be handled in compliance with all applicable healthcare regulations (e.g., HIPAA, GDPR, or local equivalents).
- Unauthorized dissemination or commercial exploitation of IP in healthcare contexts is strictly prohibited.
Education Sector:
- Educational users may access software and research outputs solely for internal academic, instructional, or research purposes.
- Redistribution, resale, or public dissemination of Laams IP in educational contexts requires explicit written consent.
Commerce Sector:
- Use of Laams IP in commercial or business contexts must comply with licensing restrictions and applicable laws.
- Unauthorized reproduction, resale, sublicensing, or use for competitive advantage constitutes infringement.
6.8 Enforcement and Remedies
- Violations of these IP rights may result in immediate suspension or termination of your Account, legal action, claims for damages, and other remedies under law.
- You acknowledge that any breach may cause irreparable harm to Laams, and monetary damages alone may be insufficient to remedy such breaches.
- Laams reserves the right to seek injunctive relief, specific performance, or any other equitable remedies in addition to monetary damages.
By using the Service, you expressly agree to respect all Laams intellectual property rights in accordance with these Terms.
7. ACCEPTABLE USE POLICY
When using the Service, you agree to comply with all applicable laws, regulations, ethical standards, and these Terms. You shall not, and shall not permit any third party to, use the Service for any activities that are unlawful, unauthorized, or harmful. Specifically, you agree not to use the Service for:
7.1 Illegal Activities and Regulatory Violations
- Engaging in any activity that violates local, national, or international laws, including but not limited to financial regulations, export control laws, or consumer protection statutes.
- Using the Service to commit crimes, fraud, or to support criminal networks.
- Accessing or distributing content or data in violation of privacy, copyright, patent, or other intellectual property laws.
7.2 Fraud, Harassment, and Harmful Behavior
- Engaging in harassment, bullying, threats, or any activity intended to harm, intimidate, or exploit others.
- Impersonating any individual, entity, or Laams personnel to deceive or defraud others.
- Exploiting vulnerabilities in the Service to manipulate, deceive, or gain unauthorized benefits.
7.3 Malware, Security Breaches, and Unauthorized Access
- Introducing viruses, malware, ransomware, spyware, or any malicious code that disrupts the Service or compromises user data.
- Attempting to bypass, disable, or circumvent authentication, encryption, or other security measures.
- Gaining unauthorized access to other Accounts, systems, networks, or services connected to or integrated with the Service.
7.4 Unauthorized Data Extraction or Use
- Extracting, scraping, copying, or reproducing data from the Service for unauthorized purposes.
- Using automated tools, bots, or scripts to access the Service outside permitted methods.
- Accessing, collecting, or sharing personal, health, or educational data in violation of applicable privacy laws or institutional policies.
7.5 Interference with Service Integrity
- Disrupting, impairing, or overloading the Service or related infrastructure, including APIs, servers, networks, or software components.
- Introducing any activity that could negatively affect other users’ experience or compromise system stability.
- Attempting to reverse engineer or manipulate proprietary components without authorization.
7.6 Misrepresentation of Affiliation
- Claiming or implying any partnership, sponsorship, or affiliation with Laams without prior written consent.
- Using Laams branding, trademarks, logos, or intellectual property in a manner that creates confusion or misleads others.
7.7 Sector-Specific Obligations
Health Sector:
- You must comply with all applicable laws and regulations regarding patient safety, clinical data privacy, and research ethics.
- Unauthorized use of the Service in medical or healthcare contexts that compromises patient confidentiality or safety is strictly prohibited.
Education Sector:
- You must comply with academic integrity policies, student data privacy laws (e.g., FERPA, GDPR), and institutional guidelines.
- Use of the Service to circumvent assessments, manipulate research, or violate institutional standards is prohibited.
Commerce Sector:
- You must comply with e-commerce laws, payment regulations, consumer protection standards, and fair competition rules.
- Fraudulent, deceptive, or manipulative commercial use of the Service is strictly prohibited.
7.8 Enforcement and Remedies
Laams reserves the right, at its sole discretion, to investigate any suspected violation of this Acceptable Use Policy and to take any action it deems necessary, including:
- Temporary suspension or permanent termination of your Account
- Reporting illegal activities to law enforcement or regulatory authorities
- Pursuing civil or criminal remedies, including claims for damages
- Blocking access to specific features, modules, or the entire Service
You acknowledge that Laams may take action without prior notice if immediate action is necessary to protect the Service, its users, or compliance with applicable laws.
8. THIRD-PARTY MERCHANT AND MARKETPLACE TRANSACTIONS AND PAYMENTS
Certain Laams products, services, and platforms—including but not limited to Laams Workspace, Laams One, Laams Academy, and associated hardware and software—may facilitate or provide access to transactions, purchases, bookings, subscriptions, or other commercial or non-commercial interactions between Customers and independent third-party merchants, vendors, organizers, or service providers (collectively, “Merchants”).
By using any Laams Service in connection with such third-party transactions, you expressly acknowledge, agree, and accept the following terms:
8.1 Role of Laams
- Laams acts solely as a technology provider, platform operator, and payment facilitator, and does not act as a seller, provider, or guarantor of any Merchant products or services.
- Laams does not exercise control over Merchant operations, inventory, pricing, descriptions, or fulfillment, nor does it endorse or approve the quality, safety, legality, or suitability of any products or services offered by Merchants.
- Any transaction conducted through a Laams Service, whether via hardware, software, mobile, or web platforms, is strictly between the Customer and the Merchant.
8.2 Customer Responsibility
- You acknowledge that you are responsible for evaluating the suitability, safety, and quality of any products or services before completing a transaction.
- You agree to conduct all due diligence regarding the Merchant, including verification of credentials, licenses, and compliance with applicable sector-specific regulations (e.g., healthcare, education, or commerce laws).
- You are responsible for payment obligations, shipping arrangements, tax compliance, and other transaction-related duties.
8.3 No Liability of Laams
- Laams shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from or relating to transactions with Merchants.
- Laams is not responsible for:
- Product or service quality, suitability, safety, or legality
- Accuracy, completeness, or reliability of Merchant information
- Pricing errors, delays, cancellations, or failed deliveries
- Payment disputes, fraud, or unauthorized charges
- Any claims, demands, or disputes between you and a Merchant
- This limitation applies regardless of the cause, including negligence, breach of contract, or other theories of liability.
8.4 Dispute Resolution with Merchants
- All complaints, claims, refund requests, or disputes must be resolved directly with the Merchant.
- Laams may provide assistance in contacting a Merchant, but such assistance does not create any liability or responsibility for Laams.
- Customers waive any right to hold Laams responsible for Merchant-related obligations or failures.
8.5 Sector-Specific Considerations
Health Sector:
- Laams is not responsible for clinical, medical, or health-related outcomes from Merchant-provided services or products.
- Customers must ensure that any health-related purchase complies with applicable licensing, professional, and regulatory requirements.
Education Sector:
- Laams is not responsible for educational materials, courses, content accuracy, or learning outcomes provided by third-party Merchants.
- Customers must verify academic credentials, course validity, and institutional compliance independently.
Commerce Sector:
- Laams is not liable for e-commerce, payment processing, shipping, returns, tax compliance, or regulatory obligations associated with Merchant transactions.
- Customers are solely responsible for ensuring lawful commercial use and compliance with all applicable trade, financial, and consumer protection laws.
8.6 Release of Liability
By using the Service for any transaction with Merchants, you expressly release, waive, and discharge Laams from any and all claims, demands, damages, or liabilities arising from such transactions, whether known or unknown, foreseeable or unforeseeable.
This release applies to all types of transactions, including but not limited to payments for goods, services, subscriptions, tickets, educational content, digital products, consulting, or any other commercial or non-commercial activity conducted through Laams hardware or software platforms.
9. PAYMENTS, SUBSCRIPTION, BILLING, AND REFUNDS
9.1 Payment Obligations
- Certain features of the Service, including subscriptions, premium modules, digital content, or hardware services, require payment of fees.
- By initiating a payment, you agree to provide accurate, complete, and current payment information and authorize Laams or its payment processors to charge the applicable fees.
- All payments must comply with the terms of your selected payment method and applicable banking, financial, and regulatory laws.
9.2 Subscription and Renewal
- If you purchase a subscription plan, the subscription may auto-renew at the end of each billing cycle unless canceled in accordance with Laams’s cancellation policies.
- Subscription fees, billing cycles, and renewal terms are displayed at the time of purchase and may be updated from time to time.
- Customers are responsible for reviewing renewal terms and ensuring sufficient funds are available for automatic billing.
9.3 No Liability for Payment Failures or Disputes
- Laams is not responsible for any failed payments, declined transactions, overdrafts, currency fluctuations, or payment processor errors.
- Laams is not liable for any claims, disputes, or losses arising from transactions processed through third-party financial services, banks, credit card providers, or payment gateways.
- Customers are responsible for resolving any payment disputes directly with their financial institution or payment provider.
9.4 Refunds and Chargebacks
- Refund eligibility is determined by Laams’s refund policy, applicable terms for subscriptions, and the specific product or service purchased.
- Laams is not liable for refunds or compensation for third-party merchant transactions, including tickets, goods, educational content, or services purchased via Laams platforms.
- All disputes or requests for reimbursement related to third-party transactions must be directed to the relevant Merchant.
- Unauthorized chargebacks or payment reversals may result in suspension or termination of your Account.
9.5 Sector-Specific Considerations
Health Sector:
- Any purchase of medical, clinical, or health-related services or products via Laams platforms is solely between you and the Merchant.
- Laams assumes no liability for outcomes, efficacy, or compliance with medical regulations.
Education Sector:
- Purchases of courses, learning materials, or academic subscriptions are governed by the Merchant or educational content provider.
- Laams is not responsible for educational outcomes, credential validity, or content accuracy.
Commerce Sector:
- All commercial transactions, including online sales, services, and subscriptions, are the sole responsibility of the Customer and Merchant.
- Laams is not liable for pricing errors, fulfillment, delivery, taxes, legal compliance, or trade obligations.
9.6 Taxes and Regulatory Compliance
- Customers are responsible for all applicable taxes, duties, fees, and other governmental charges arising from purchases.
- Laams may collect and remit taxes where required by law but assumes no responsibility for individual tax compliance.
9.7 Limitation of Laams Liability
- Under no circumstances shall Laams be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from payments, billing, subscriptions, or refund requests, including without limitation errors in pricing, failed transactions, fraudulent activity, or Merchant default.
- This limitation applies to all transactions conducted through Laams hardware, software, mobile, or web platforms.
By using the Service for any financial transaction, subscription, or purchase, you expressly acknowledge and agree that Laams is solely a platform and payment facilitator and assumes no liability or responsibility for any monetary, commercial, or contractual obligations between you and any Merchant or service provider.
10. DATA PRIVACY AND SECURITY
10.1 Data Collection and Use
- Laams collects, stores, and processes data in accordance with its Privacy Policy.
- Data collected may include personal information, account information, payment and transaction records, usage data, device information, and any content or materials uploaded or generated by Customers.
- By using the Service, you consent to the collection, storage, and use of your data for operational purposes, platform improvement, research, analytics, and provision of services.
10.2 Customer Responsibility for Data
- You are solely responsible for the accuracy, legality, and appropriateness of all data you provide or upload to the Service.
- You agree not to upload, transmit, or share any content that is unlawful, infringing, harmful, or violates third-party rights.
- For organizational accounts, you must ensure that your employees or authorized users comply with these data responsibilities.
10.3 Health, Education, and Commerce Considerations
Health Sector:
- Customers accessing health-related modules must comply with all applicable regulations regarding patient data privacy, confidentiality, and security (e.g., HIPAA, GDPR, or local equivalents).
- Laams does not assume responsibility for compliance with health data laws; it is your obligation to ensure lawful handling of such data.
Education Sector:
- Customers accessing educational modules or academic content must comply with all applicable student data privacy laws (e.g., FERPA, GDPR) and institutional policies.
- Laams is not responsible for misuse or unauthorized disclosure of student or research data.
Commerce Sector:
- Customers conducting commercial transactions must comply with all applicable financial, tax, and regulatory laws.
- Laams is not responsible for compliance with payment regulations or secure handling of commercial data beyond its platform’s operational controls.
10.4 Security Measures
- Laams employs administrative, technical, and physical safeguards to protect data.
- You are responsible for implementing reasonable security measures for your accounts, devices, and credentials.
- Laams is not liable for unauthorized access resulting from weak passwords, compromised credentials, or third-party breaches outside of Laams’s control.
10.5 No Liability for Data Loss
- Laams is not liable for any loss, alteration, corruption, or unauthorized disclosure of data resulting from your use of the Service or interactions with third-party merchants, partners, or service providers.
- You are encouraged to maintain backups and secure copies of all critical data.
11. HARDWARE TERMS
If you purchase, lease, or otherwise acquire any Laams hardware products, including but not limited to devices, peripherals, sensors, or any physical components associated with Laams platforms (collectively, “Hardware”), the following terms apply:
11.1 Warranties
- Any warranties provided with Hardware, including manufacturer or limited warranties, are provided separately and are governed by the specific warranty documentation accompanying the Hardware.
- Laams does not extend any additional warranties beyond those explicitly provided in the applicable Hardware warranty.
- Warranty claims must be submitted in accordance with the terms outlined in the Hardware warranty documentation.
11.2 Proper Use
- Hardware must be used strictly in accordance with Laams guidelines, user manuals, and safety instructions.
- You agree not to operate Hardware in conditions that exceed recommended environmental, electrical, or operational limits.
- Any use of Hardware for purposes outside its intended design or in violation of Laams documentation is strictly prohibited.
11.3 Unauthorized Modifications and Repairs
- Unauthorized repair, modification, alteration, tampering, or reverse engineering of Hardware immediately voids any applicable warranty.
- Customers must not attempt to disassemble or repair Hardware unless expressly authorized by Laams.
- Use of third-party parts, accessories, or modifications that are not approved by Laams may void warranties and expose the user to safety risks.
11.4 Installation and Third-Party Accessories
- Laams is not responsible for damages, malfunctions, or losses arising from improper installation, integration, or use of Hardware with third-party accessories, software, or devices.
- Customers are responsible for ensuring that any third-party attachments or integrations comply with safety, regulatory, and operational requirements.
11.5 Safety Notices and Updates
- Hardware safety notices, operational guidelines, and usage recommendations may be updated periodically.
- Customers are responsible for regularly reviewing any updated safety instructions and implementing recommended changes to maintain safe operation.
- Laams reserves the right to provide recall or safety advisory notices for Hardware if necessary, and Customers must comply promptly with such notices.
11.6 Limitation of Liability

Laams assumes no liability for any direct, indirect, incidental, consequential, or punitive damages arising from Hardware purchase, use, or misuse, including but not limited to:
- Personal injury or property damage
- Malfunction or failure due to misuse or unauthorized modification
- Use with third-party software, devices, or accessories
- Improper installation, handling, or environmental exposure

Hardware is provided “as is”, and Customers acknowledge that safe and proper use is their sole responsibility.
By purchasing or using Laams Hardware, you expressly acknowledge and agree to these terms, including the limitations on warranty and liability.
12. Software Licensing
All software, applications, modules, tools, and digital components provided by Laams, including but not limited to Laams Workspace, Laams One, Laams Academy, APIs, mobile apps, and platform integrations (collectively, the “Software”), are licensed, not sold, unless otherwise explicitly stated in a written agreement. By accessing or using the Software, you agree to the following licensing terms:
12.1. Scope of License
- Laams grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal, lawful, and authorized purposes in accordance with these Terms.
- The license is strictly limited to the permitted use of the Service and does not convey any ownership, title, or intellectual property rights in the Software.

- Modify, adapt, translate, or create derivative works based on the Software or any components thereof.
- Redistribute, sublicense, sell, lease, or transfer the Software to any third party.
- Circumvent, disable, or bypass any technical protections, digital rights management (DRM), or licensing controls implemented within the Software.
- Access the Software in an unauthorized manner, including through automated tools, scraping, or any method that exceeds permitted usage.
12.4. Sector-Specific Considerations
Health Sector:
- Use of the Software for medical, clinical, or research purposes must comply with all applicable health regulations and professional standards.
- Laams assumes no responsibility for compliance with health data handling, patient safety, or clinical outcomes.
Education Sector:
- Software may be used for educational, instructional, or research purposes only, consistent with academic integrity and institutional policies.
- Unauthorized redistribution, replication, or public dissemination of educational modules or content is strictly prohibited.
Commerce Sector:
- Commercial use, including integration with payment, retail, or operational systems, must comply with all applicable trade, e-commerce, and financial regulations.
- Laams is not responsible for third-party commercial outcomes resulting from Software use.
12.5. Termination of License
- Laams reserves the right to suspend or terminate your Software license immediately if you breach these Terms or exceed the authorized scope of use.
- Upon termination, you must cease all use of the Software and delete or return all copies in your possession, including backups, unless otherwise permitted by law or Laams.
12.6. No Warranty or Liability
- The Software is provided “as is” and “as available”. Laams makes no warranties regarding performance, suitability, reliability, or fitness for any particular purpose.
- You acknowledge that all risks related to the use of the Software are your responsibility, and Laams shall not be liable for any damages, losses, or outcomes arising from the use or inability to use the Software.
13. RESEARCH AND DEVELOPMENT USE
Laams may provide access to experimental, beta, pre-release, or research-grade technologies (collectively, “R&D Features”) as part of its platforms, including but not limited to Laams Workspace, Laams One, Laams Academy, AI models, hardware prototypes, and software modules under development. By using these R&D Features, you expressly acknowledge and agree to the following terms:
13.1 Nature of R&D Features
- R&D Features are provided for testing, experimentation, feedback, or academic research purposes and may not represent final or stable functionality.
- Such features may be incomplete, unstable, subject to frequent changes, or withdrawn without notice.

- You agree not to rely on R&D outputs for medical, clinical, legal, financial, safety-critical, or other high-stakes decision-making unless Laams has explicitly authorized such use in writing.
- You are responsible for verifying and validating any results, outputs, or research derived from the use of R&D Features.
13.3 Customer Responsibility
- You are solely responsible for safe, lawful, and ethical use of R&D Features, including compliance with all applicable regulations, institutional policies, or professional standards.
- Use of R&D Features in research, educational, health, or commercial contexts must include appropriate oversight, safeguards, and validation mechanisms.
- Laams does not assume responsibility for consequences arising from misinterpretation, misuse, or reliance on R&D Features.
13.4 Data and Feedback
- Data generated, submitted, or derived from your use of R&D Features may be collected by Laams for research, product development, or quality improvement purposes in accordance with the Privacy Policy.
- You may be requested to provide feedback or reports regarding R&D Features; any feedback you submit may be used by Laams without compensation, and you waive any intellectual property claims regarding such feedback.
13.5 Limitation of Liability
- To the fullest extent permitted by law, Laams shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of R&D Features, including damages relating to accuracy, completeness, reliability, or outcomes.
- You acknowledge that use of R&D Features is entirely at your own risk, and Laams expressly disclaims responsibility for any loss, injury, or damage arising from such use.
13.6 Updates and Changes
- R&D Features may be updated, modified, restricted, or discontinued at any time without notice.
- Laams is not responsible for any impacts these changes may have on your work, research, data, or operational processes.
By using R&D Features, you acknowledge that you have read, understood, and accepted all risks associated with experimental technologies and agree to hold Laams harmless from any consequences arising from such use.
14. SERVICE AVAILABILITY AND MODIFICATIONS
Laams strives to provide reliable access to its platforms and services, including but not limited to Laams Workspace, Laams One, Laams Academy, APIs, software modules, and associated hardware, however, you acknowledge and agree to the following terms regarding availability and modifications:
14.1 No Guarantee of Uninterrupted Service
- Laams does not guarantee continuous, uninterrupted, or error-free access to the Service or any components thereof.
- Service availability may be affected by maintenance, updates, network issues, third-party dependencies, hardware failures, security incidents, or other factors beyond Laams’s control.
- You acknowledge that occasional interruptions, delays, or technical issues may occur, and Laams is not liable for any loss or inconvenience resulting from such interruptions.

- Laams assumes no liability for the consequences of any modifications, including but not limited to lost functionality, removed features, altered performance, or incompatibility with prior workflows or integrations.

15. LIMITATION OF LIABILITY

15.2. Sector-Specific Limitations
Health Sector:
- Laams is not liable for any medical, clinical, diagnostic, or health-related outcomes, decisions, or damages resulting from use of the Service, including AI models, research outputs, or third-party health providers.
Education Sector:
- Laams is not responsible for academic outcomes, grading, credential validity, research conclusions, or educational content accuracy.
Commerce Sector:
- Laams is not responsible for e-commerce transactions, fulfillment, payment processing, delivery delays, refunds, or regulatory compliance related to third-party commercial activities.
15.3. Exclusion of Warranties

By using the Service, you acknowledge and agree to the following terms regarding termination:

Laams may suspend or terminate your access, in whole or in part, immediately and without prior notice, if any of the following occur:

16.3 Sector-Specific Considerations
Health Sector:
- Termination of access may impact health-related modules or clinical tools. Laams is not responsible for any operational or safety impacts arising from termination.
Education Sector:
- Termination may affect access to courses, academic content, or research platforms. Laams is not liable for disruption of educational activities or research projects.
Commerce Sector:
- Termination may affect access to transactional, payment, or e-commerce features. Laams is not liable for any financial losses, incomplete transactions, or business interruptions resulting from termination.
16.4 Voluntary Termination
- You may stop using the Service at any time by discontinuing access and, where applicable, uninstalling or returning hardware.
- Termination by you does not release you from outstanding obligations, including fees, payments, or compliance with post-termination clauses such as confidentiality or intellectual property rights.
16.5 No Liability
- Laams shall not be liable for any losses, damages, or consequences arising from suspension, restriction, or termination of your access, whether initiated by Laams or voluntarily by you.
- You acknowledge and agree that Laams’s termination rights are reasonable and necessary to protect its platforms, users, infrastructure, and legal compliance.
17. DISCLAIMERS
17.1 General Disclaimer
To the fullest extent permitted by applicable law, all services, platforms, software, hardware, APIs, R&D Features, and content provided by Laams—including but not limited to Laams Workspace, Laams One, Laams Academy, experimental technologies, and related hardware—are provided “as is” and “as available”. Laams expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Fitness for a particular purpose, including but not limited to commercial, educational, research, clinical, or healthcare purposes.
- Non-infringement, including claims arising from third-party intellectual property rights.
- Reliability, accuracy, completeness, or correctness of any output, data, research, or content generated by the Service or R&D Features.
- Uninterrupted availability or continuous operation of the Service, hardware, software, or network infrastructure.
- Quality, safety, or efficacy of any products, services, or content provided by third-party merchants, vendors, or service providers through Laams platforms.
17.2 No Responsibility for Specific Outcomes
Laams is not responsible or liable for any damages, losses, or consequences resulting from:

- Service interruptions, downtime, or operational disruptions, including hardware failures or third-party service outages.
- Errors, bugs, defects, or limitations in software, R&D Features, APIs, or hardware functionality.
- Outputs from experimental or beta technologies, including inaccurate, biased, or incomplete results.
- Third-party merchant-supplied products, services, or transactions, including quality, safety, pricing, fulfillment, delivery, or compliance issues.
- Decisions or actions taken in reliance on the Service, including medical, legal, educational, financial, or safety-critical decisions, unless explicitly authorized in writing by Laams.

Health Sector:
- Laams is not responsible for clinical outcomes, patient safety, regulatory compliance, or efficacy of medical services or products.
Education Sector:
- Laams is not responsible for academic outcomes, content accuracy, credential validity, or research conclusions.
Commerce Sector:
- Laams is not responsible for commercial outcomes, payments, refunds, shipping, regulatory compliance, or financial losses arising from third-party transactions.
17.4 Acknowledgment of Risk
By using any Laams Service, you acknowledge and accept that all use is at your own risk, and that Laams provides the Service solely as a technology platform, without guarantees regarding outcomes, reliability, or suitability. You expressly waive any claims against Laams arising from reliance on the Service or third-party interactions facilitated through it.
18. Indemnification
18.1 General Obligation
You (individually, or on behalf of an entity you represent, collectively “Customer”) agree to indemnify, defend, and hold harmless Laams Technologies PTY LTD, its affiliates, officers, directors, employees, agents, licensors, and partners (collectively, “Laams”) from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees and court costs) arising from, relating to, or resulting from:
